General Sales and Delivery Terms – B2B
These general terms and conditions apply to all quotations, sales, and deliveries between Resin Bound Surfaces and its professional (B2B) clients. They define the rights and obligations of both parties regarding quotations, orders, deliveries, and payments. By accepting a quotation or placing an order, the client acknowledges having read and agreed to these terms.
Our cooperation is founded on transparency, quality, and reliability. The following provisions ensure clear agreements and smooth project execution.
1. Validity of Quotation
All quotations are valid for a period of 15 days from the issue date, unless stated otherwise. After this period, prices and conditions are subject to change without notice.
2. Prices
The prices quoted in the quotation are based on current material costs and market conditions. Any significant changes in these factors may require adjustment of quoted prices.
3. Product Specifications
The specifications and descriptions of water-permeable concrete products in the quotation are accurate to the best of our knowledge. However, minor deviations may occur due to manufacturing tolerances.
4. Delivery and Delivery Times
Estimated delivery dates are given as guidelines and may vary depending on availability and contingencies. Seller is not responsible for delays caused by third parties or events beyond its control.
5. Payment Terms
Payment terms will be specified in the quotation. Full payment or a deposit may be required prior to delivery or commencement of services. Late payments may incur interest of 2% per month.
6. Acceptance of Quotation
A quotation becomes binding only after written confirmation of acceptance by the buyer and confirmation of the order by the seller.
7. Cancellations and Modifications
Orders may be cancelled or modified only with the seller's approval. Cancellation fees may apply once production or shipment has begun.
8. Warranty and Liability
Products are warranted to be free from defects in material and workmanship under normal use for the period specified in the product documentation. Seller's liability is limited to replacement or repair of defective products and excludes consequential damages.
9. Returns and Refunds
Products may be returned only with prior approval and in accordance with Seller's return policy. Custom or special orders cannot be returned.
10. Health and Safety
The buyer must ensure that all products are handled, stored and used in accordance with the seller's safety instructions and applicable regulations.
11. Force Majeure
The seller shall not be liable for failure to fulfil any obligation due to events beyond its reasonable control, including natural disasters, strikes or government action.
12. Governing Law
These terms and conditions are governed by the laws of Belgium, therefore disputes arising from the offer or subsequent transactions are subject to the exclusive jurisdiction of the courts in Belgium, district of Leuven.
13. Acceptance of Conditions
By accepting the offer, the buyer fully agrees to these terms and conditions.
